Terms of Use.

1. Who We Are

HelloPartner.ai LLC is a California limited liability company doing business as "HelloPartner.ai." When this agreement says "we," "us," or "our," it means HelloPartner.ai LLC. When it says "you" or "your," it means the person who downloaded, installed, or is using Sal.

You must be at least 18 years old to use Sal. By downloading or using the application, you confirm that you meet this requirement.

2. What You're Getting: Software Licenses

When you subscribe to Sal for Mac, we grant you a personal, non-exclusive, non-transferable, revocable subscription license to install and use the application on supported Mac (macOS) hardware that you own or control, for the duration of your active subscription or authorized trial period.

Sal for Mac is not perpetual. Your right to access and use Sal for Mac depends on maintaining an active, paid monthly subscription (or an active trial). If your subscription ends, lapses, or is cancelled, your license to access and run Sal for Mac terminates at the conclusion of your current paid billing cycle.

Sal for iOS (iPhone) is provided free of charge under a non-exclusive, revocable personal-use license.

This is a software license — not a sale of the software itself. You own your Mac and iPhone. You own every file, conversation, document, memory, and artifact that Sal creates for you. But Sal herself — the application, code, model orchestration engine, user interface, design, and brand — belongs exclusively to HelloPartner.ai LLC.

3. Free Trial & iOS Companion Policy

14-Day Free Trial (Mac): New Mac subscriptions include an unconditional 14-day free trial. You can test all capabilities on your own hardware completely risk-free before your first payment processes.

Sal for iOS (Free Companion & No Customer Support): Sal for iOS is provided completely free of charge. Distributed via the Apple App Store, the iOS application is provided strictly “as-is” and “as-available.” HelloPartner.ai LLC provides zero customer support, technical troubleshooting, bug resolution SLAs, or maintenance commitments for the free iOS app. Direct technical and customer support is reserved exclusively for active, paid subscribers of Sal for Mac.

Legacy Early Access: If you held an authorized early-access key issued during our initial closed preview, your access is honored in accordance with the specific terms under which it was granted.

4. What You Can Do

• Use Sal for any lawful personal or professional purpose. Confidential client work, coding, writing, research, analysis, daily scheduling — that is what she is engineered for.
• Use Sal across your Mac and iPhone. Install Sal on your Mac workstation (macOS) and your companion iPhone (iOS). If both devices use your same Apple ID / iCloud account, your conversation memories and pinned tray synchronize privately via Apple's encrypted iCloud infrastructure.
• Cancel your subscription anytime. You are never locked in. You can cancel your monthly subscription at any time with a single click in your billing portal or device settings.

5. What You Can't Do

We trust our users. These restrictions exist to protect the product, security, and integrity of the platform:

• Don't share or resell subscription access. Your subscription is tied to you personally. Reselling, sublicensing, or sharing credentials publicly violates this agreement.
• Don't reverse-engineer Sal. You may not decompile, disassemble, reverse-engineer, or attempt to derive the source code of the macOS or iOS applications.
• Don't redistribute Sal. You may not copy, repackage, distribute, or resell the application binaries to others.
• Don't circumvent license or subscription verifications. Tampering with subscription validation or DRM mechanisms violates this agreement.
• Don't use Sal for anything illegal. You may not use Sal in violation of any applicable federal, state, local, or international laws or regulations.

6. AI Outputs, Decision-Making & User Responsibility

Sal is an AI-powered assistant. The text, summaries, analysis, code, suggestions, and answers she provides are generated by local artificial intelligence models running on your hardware.

AI makes mistakes and is not infallible. Like all artificial intelligence technologies, Sal may produce responses that are inaccurate, incomplete, misleading, hallucinatory, or inappropriate for your specific circumstances or objectives.

You explicitly take full responsibility for reviewing and verifying all AI outputs for accuracy, completeness, and appropriateness before relying on them, executing them, or sharing them. You must exercise your own independent human verification, judgment, and discretion at all times.

You are solely responsible for your own subsequent actions, decisions, and workflows that come out of or are influenced by responses from Sal. HelloPartner.ai LLC does not direct, oversee, or control how you interpret or apply Sal’s outputs in your personal, business, financial, legal, technical, or creative matters.

You explicitly agree to hold HelloPartner.ai LLC completely harmless from and against any damages, liabilities, costs, or claims arising from or related to incorporating AI responses into your decision-making, planning, and actions.

7. Your Data Stays Yours (Mac & iPhone)

This is the part where most software companies write paragraphs about how they collect and monetize your personal information. We don't need to — because we never see it.

Everything you create, say, or process with Sal is executed and stored locally on your own Mac and iPhone hardware. We operate no remote cloud inference servers, maintain no central user databases, and collect zero telemetry. Cross-device continuity between your Mac and iPhone operates strictly through Apple's end-to-end encrypted iCloud. For full details, read our Privacy Policy.

If you choose to cancel your subscription and remove the applications, all local data on your devices remains yours or can be erased by deleting the application data folders.

8. Updates

Sal checks for updates automatically in the background and installs them when available. By using Sal, you consent to receiving these updates. They may include improvements, bug fixes, new features, or updated AI models.

We reserve the right to update the AI models bundled with Sal at any time. Our goal is always to give you the best experience your hardware can deliver.

9. Third-Party Components & Platforms

Sal includes open-source and open-weight foundation models distributed under their original licenses (such as Apache 2.0). These models execute entirely locally on your Mac and iPhone hardware.

Sal also connects with:

• DuckDuckGo — for private web searches, only when you explicitly ask.
• Billing & App Distribution Platforms — Lemon Squeezy processes Mac desktop subscription payments; Apple App Store handles iOS companion distribution.
• Apple Frameworks — Calendar, Reminders, and iCloud sync operate exclusively through Apple's native, encrypted system APIs.

10. Subscriptions, 14-Day Free Trial, Cancellation & No Guarantees

Sal for Mac is offered on a flexible, month-to-month recurring subscription basis ($9.99/month, preceded by an unconditional 14-day free trial). Sal for iOS is provided completely free of charge without recurring subscription fees or technical support obligations.

14-Day Free Trial: We offer a 14-day free trial for new Mac subscriptions so you can thoroughly test Sal on your own hardware, evaluate performance, and confirm compatibility before you are ever billed.

Cancel Anytime — No Separate Warranty or Money-Back Guarantee: Because Sal is provided on a month-to-month subscription model preceded by a full 14-day free trial, there is no 30-day money-back guarantee, satisfaction warranty, or performance warranty. If Sal stops working for you, fails to meet your evolving needs, or you simply choose to discontinue use, you can cancel your subscription at any time with a single click.

Billing upon Cancellation: When you cancel, future automatic renewals stop immediately. You will retain full access to Sal until the conclusion of your current prepaid billing cycle. Payments already processed are non-refundable, except where explicitly required by mandatory consumer protection laws in your jurisdiction.

11. Disclaimer of Warranties

As a subscription product, Sal is provided “as is” and “as available,” without warranties or guarantees of any kind — whether express, implied, or statutory. We do not warrant that Sal will be uninterrupted, error-free, compatible with all third-party software or future OS updates, or meet any specific commercial or professional objective.

We expressly disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of certain implied warranties, so portions of these disclaimers may not apply to you.

12. Limitation of Liability & Hold Harmless

To the maximum extent permitted by applicable law, HelloPartner.ai LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of data, loss of profits, business interruption, or adverse personal, commercial, legal, or professional outcomes — arising out of or related to your use of or inability to use Sal on macOS or iOS, or your reliance on any outputs or responses generated by Sal.

Hold Harmless and Indemnification: You explicitly agree to defend, indemnify, and hold HelloPartner.ai LLC, its founder, members, managers, officers, owners, operators, affiliates, and licensors completely harmless from and against any and all claims, demands, liabilities, lawsuits, losses, judgments, damages, costs, and expenses (including reasonable legal fees) arising out of or related to your use of Sal, your violation of these Terms, or your incorporation of AI-generated responses into your decision-making, subsequent actions, or work product.

Our total aggregate liability for any claims arising under or related to this agreement or your use of Sal shall not exceed the subscription fees you actually paid to HelloPartner.ai LLC in the one (1) month immediately preceding the event giving rise to the claim (or $0 if you are currently using Sal under a free trial or beta program).

13. Termination

By you: You may cancel your subscription at any time via your customer billing portal (for Mac) or your Apple ID subscription settings (for iOS). Once cancelled, your license terminates at the end of your prepaid period. You can then uninstall the application and delete your local data.

By us: We may terminate or suspend your subscription and access if you materially breach this agreement — including unauthorized distribution, reverse-engineering, or using Sal for unlawful activities. We will make reasonable efforts to notify you in advance when feasible.

14. Changes to These Terms

We may update this agreement from time to time. When we do, we will update the effective date at the top of this page. Continued use of Sal after changes are posted constitutes your acceptance of the revised terms.

For material changes — anything that significantly affects your rights — we will make reasonable efforts to notify you through the application or by email.

15. Governing Law

This agreement is governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts located in California.
